Terms and Conditions of Service
Dexpell Logistics – Standard Terms and Conditions
1. Scope of Services
Dexpell Logistics INC. provides international freight forwarding, customs brokerage, and logistics services including but not limited to ocean freight, air freight, road freight, project cargo, express courier, and value-added services.
2. Quotations and Rates
All quotations are subject to change and are valid for the period specified. Rates are based on information provided by the customer and may be adjusted if actual shipment details differ from the original quote.
3. Insurance
Cargo insurance is not automatically included unless specifically requested and confirmed in writing. Dexpell Logistics recommends that customers obtain adequate cargo insurance for all shipments.
4. Liability
Dexpell Logistics INC. acts as an intermediary and shall not be liable for loss, damage, or delay caused by carriers, terminals, or other third parties. Liability is limited to the terms set forth by applicable international conventions.
5. Customs and Regulatory Compliance
The customer is responsible for ensuring that all goods comply with applicable import/export regulations. Dexpell Logistics assists with customs documentation but is not liable for delays or penalties arising from non-compliance.
6. Payment Terms
Unless credit terms have been approved in advance, all charges are payable prior to or upon release of cargo. Late payments may incur interest charges and service suspension.
7. Force Majeure
Dexpell Logistics shall not be liable for delays, losses, or failures in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, strikes, government actions, or pandemics.
8. Dangerous Goods
The customer must declare all dangerous goods in accordance with applicable regulations. Failure to properly declare dangerous goods may result in additional charges, penalties, or refusal of service.
9. Storage and Warehousing
Storage charges apply for goods held beyond the agreed free time period. Dexpell Logistics is not responsible for deterioration of goods in storage unless caused by gross negligence.
10. Claims
All claims for loss or damage must be submitted in writing within 30 days of delivery. Claims not filed within the specified period may be denied.
11. Confidentiality
Both parties agree to maintain the confidentiality of all business information exchanged during the course of the business relationship.
12. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the State of New Jersey, United States of America.
13. Amendments
Dexpell Logistics reserves the right to modify these terms and conditions at any time. Customers will be notified of material changes.
14. Subcontracting
Dexpell Logistics reserves the right to subcontract any or all of its services to qualified third parties.
15. Packaging
The customer is responsible for ensuring that goods are properly packed and labeled for transportation. Dexpell Logistics is not liable for damage resulting from inadequate packaging.
16. Routing
Dexpell Logistics reserves the right to determine the routing and method of transportation unless specifically instructed otherwise by the customer.
17. Lien
Dexpell Logistics shall have a general lien on all goods and documents relating to goods in its possession for all amounts due.
18. Sanctions Compliance
The customer warrants that all shipments comply with applicable trade sanctions and export control regulations.
19. Data Protection
Personal data collected during the course of business will be processed in accordance with applicable data protection laws.
20. Indemnification
The customer agrees to indemnify and hold harmless Dexpell Logistics from any claims, losses, or damages arising from the customer's breach of these terms or any applicable law.
21. Non-Release of Cargo Due to Payment or Documentation Issues
In the event that cargo cannot be released, delivered, or picked up due to non-payment, late payment, or failure to complete payment prior to the agreed payment terms, or due to missing, incomplete, or incorrect documentation provided by the customer, all costs and charges incurred, including but not limited to demurrage, detention, storage, warehousing, re-handling, port charges, terminal charges, and any related expenses, shall be solely for the account and responsibility of the customer. Dexpell Logistics INC. shall not be held liable for any delays, costs, or damages arising from such non-release situations.
